PUBLIC OFFER

(AGREEMENT ON BOOKING, INTERMEDIARY, TOURISM AND RELATED SERVICES)

Last updated: 01.09.2026

Place of conclusion: Yerevan, Republic of Armenia__
1. General Provisions and Acceptance
1.1. This document constitutes a public offer by Pathrest LLC (hereinafter, the “Company” or “Pathrest”) to enter into an agreement in respect of a specific Booking/Order with a person who accepts this Offer in accordance with the procedure set out below (hereinafter, the “Client”).

1.2. The Offer applies to the booking, ordering, payment for and receipt of tourism and related services presented on the Website, taking into account the role of Pathrest in relation to the specific Service.

1.3. Registration on the Website and creation of a Personal Account do not, in themselves, constitute acceptance of this Offer in respect of a specific paid Service. An agreement for a specific Order is concluded when the Client performs actions unequivocally expressing consent to the version of the Offer effective at that time and to the terms of the relevant Order, including ticking a mandatory checkbox, clicking a booking/confirmation/payment button and/or making full or partial payment, depending on the model applicable to the specific Service.

1.4. Where no Prepayment or online payment is required for a specific Service, acceptance may be effected by ticking the mandatory consent checkbox and submitting/confirming the Booking through the Website interface. The Company’s system may record the date and time of acceptance, the Client and Order identifiers, the versions of the applicable documents, technical session information and other data necessary to evidence the fact and content of the electronic interaction.

1.5. The Agreement is concluded electronically. No separate paper agreement or copy of the Public Offer is required to be drawn up and sent to the Client unless otherwise required by law or by the terms of the specific Service. The current text of the Offer is published on the Website.

1.6. After a transaction is placed or completed, the Client may be sent non-public documents relating to the specific Order, including a confirmation, voucher, ticket, itinerary receipt, fiscal receipt, invoice, fare conditions, Supplier details, cancellation/refund rules and other documents required or necessary for performance of the Order. Such documents may be sent by email, made available in the Personal Account or provided by another agreed electronic means.

1.7. Pathrest may retain technical data evidencing electronic acceptance and the content of the applicable version of the documents, including the date and time, User/Order identifier, document version, fact of ticking the mandatory checkbox, email address and other technical information permitted by law and the Privacy Policy.

1.8. Publication of a Service does not constitute an unconditional confirmation of availability. Price, availability and parameters may require confirmation by the Supplier or an external system.

3. Role of Pathrest in Relation to a Specific Service
3.1. Pathrest is a multifunctional tourism platform. The legal and economic role of the Company is determined separately for each Service and Order.

3.2. Pathrest may act: (a) as a Marketplace operator/intermediary; (b) as a travel agent, intermediary or person arranging the booking of a Service supplied by an external Supplier; or (c) as a person independently organising or providing a specific Service, where permitted by law.

3.3. The listing of a Service, receipt of a request or payment, issuance of a confirmation and provision of support do not, by themselves, mean that Pathrest is the actual provider of every component of the Service.

3.4. Where an activity requires notification, registration, authorisation, a licence, guarantee or other mandatory status, Pathrest carries out such activity only where the necessary lawful grounds exist. This Offer does not create or replace such status.

3.5. Where Pathrest independently acts in a regulated capacity in relation to a specific Order, such capacity applies only to that Order and does not automatically extend to Services provided by third parties.

3.6. Where required by law, the Order or the Supplier’s model, the Client is informed on whose behalf Pathrest acts and who the actual service provider is.
4. Marketplace
4.1. The Partner independently determines the content of the Offer, availability, price, dates, programme, cancellation/refund rules, amount of Prepayment and other commercial terms, unless otherwise agreed with Pathrest.

4.2. Pathrest may review, moderate, reject, technically edit, suspend, hide or remove Offers.

4.3. The actual provider of a Marketplace Service is the Partner unless expressly stated otherwise. The Partner is responsible for the legality of its activities, accuracy of material information, safety, quality and actual provision of the Service.

4.4. Pathrest is responsible for its own platform, intermediary and payment-related actions to the extent required by applicable law.

4.5. Pathrest may grant the Client a discount at its own expense; this does not reduce the agreed amount payable to the Partner unless otherwise agreed.

4.6. Where no Prepayment is required, the price may be paid directly to the Partner. Where a Prepayment is made to Pathrest, the balance may be paid to the Partner, including in cash where permitted by law.
5. External Supplier and API Services
5.1. Information concerning Services may be obtained through APIs, GDSs, aggregators, tour operator systems, accommodation property databases and other external sources.

5.2. The payment recipient is determined by the specific Service: the Client may pay Pathrest, the Supplier or a third-party seller.

5.3. Where Pathrest accepts payment for a Service of an external Supplier, this does not automatically change the identity of the actual service provider. Pathrest may retain the remuneration provided for in its arrangements with the Supplier and remit the amount due to the Supplier.

5.4. Internal net prices, commissions and settlements between Pathrest and Suppliers do not form part of this Public Offer, except for information that must be disclosed to the Client by law.

5.5. A Booking may be transmitted to an external system automatically or manually.

5.6. If a Service is not confirmed by the Supplier, Pathrest informs the Client and, depending on the circumstances, offers an alternative or arranges a refund of the amount received.
6. Accommodation (Accommodation Properties)
6.1. Accommodation Offers may be supplied by external tour operators/booking systems or by accommodation properties through the Marketplace. For the purposes of this document, accommodation properties include, without limitation, hotels, guest houses, apartments, rental homes and other similar properties.

6.2. Where the Client pays Pathrest, the Company accepts payment for an identified Order and arranges the booking with the relevant Supplier. The actual accommodation service is provided by the accommodation property and/or the relevant Supplier.

6.3. In the case of manual booking through an external portal, the Order becomes finally confirmed upon receipt of the Supplier’s confirmation, unless the Client has expressly been informed otherwise.

6.4. A voucher and other documents may be generated by the Supplier and transmitted through Pathrest.

6.5. Pathrest assists with communications concerning an Order placed through Pathrest; matters relating to the actual accommodation may require a decision by the accommodation property or upstream Supplier.

6.6. An accommodation property publishing an Offer directly on the Marketplace is subject to Section 4.
7. Air Tickets and Redirect Services
7.1. Where the Client is redirected to the website of an airline, agency or seller and completes the purchase there, the sales agreement is concluded with that third party unless expressly stated otherwise.

7.2. Under this model, Pathrest provides information/search/affiliate functionality and may receive affiliate remuneration from an external system.

7.3. The ticket, fare, refund and exchange are governed by the seller, carrier and applicable rules; claims for a refund of payment are made against the relevant seller/payment recipient unless otherwise provided by law.

7.4. If, in the future, air tickets or transport services are booked and paid for directly on the Website through a GDS/API, the model expressly indicated during placement of the Order shall apply.
8. Pathrest’s Own Services
8.1. Pathrest may offer Services organised or provided by the Company itself, subject to compliance with mandatory legal requirements.

8.2. Where Pathrest is the actual organiser/provider, this is stated in the Offer, Order, confirmation or applicable contractual documentation.

8.3. In respect of its own Service, Pathrest is responsible for the obligations it has assumed to the extent established by law and the terms of the Order.

8.4. Engagement of contractors does not release Pathrest from liability to the extent that the law places such liability on the Company.
9. Placement and Confirmation of an Order
9.1. The Client provides the necessary information and must verify it before submission.

9.2. The Client bears the risk of consequences arising from errors in information supplied by the Client, except where caused by Pathrest or where otherwise provided by law.

9.3. A Booking may be assigned a unique number/code linking the request, payment and confirmation.

9.4. The existence of a Booking number does not always mean final confirmation by the Supplier.

9.5. The Client must review the documents received and promptly report any discrepancies.
10. Price and Payments
10.1. The final price payable through Pathrest is displayed when the Order is placed or otherwise communicated to the Client before payment.

10.2. Depending on the Service, full payment, Prepayment, payment of the balance to the Partner/Supplier, or full payment to a third party may apply.

10.3. A payment to Pathrest may represent the price of Pathrest’s own Service or an amount accepted under an agency, intermediary or Marketplace model for performance of an identified Order.

10.4. Payment may be made by bank card through VPOS/acquiring, bank transfer, an authorised financial wallet or another available method.

10.5. The payment may display a description/name and/or Order number. The amount is determined by the actual price, number of Travellers and composition of the Services and may be substantial.

10.6. Payment is deemed made when the funds are confirmed as credited or when the payment provider confirms successful completion of the transaction.

10.7. External bank fees and currency conversion costs are borne by the Client unless expressly stated otherwise.

10.8. Not every amount received by Pathrest necessarily constitutes Company revenue: a portion may be due to a Partner/Supplier under the relevant settlement arrangements.
11. Currency
11.1. The Company’s principal settlement currency is Armenian dram (AMD), unless another currency is permitted by law and expressly indicated.

11.2. An equivalent amount shown in another currency may be for information only; the actual exchange rate is determined by the bank/payment system.

11.3. A refund may be affected by exchange-rate or bank differences where such differences are not caused by Pathrest.
12. Cancellation, Amendment and Refund
12.1. Cancellation, amendment, no-show and refund rules vary by Offer and form part of the terms of the specific Order.

12.2. The Client must review such rules before confirmation and payment.

12.3. For Marketplace Services, the rules are established by the Partner subject to mandatory provisions of law.

12.4. For external/API Services, the Supplier/fare rules communicated to the Client and mandatory legal provisions apply.

12.5. For Pathrest’s own Service, the Pathrest rules stated in the Offer/Order apply.

12.6. Where payment was received by Pathrest, a refund may technically be processed through Pathrest even where refund eligibility depends on the Supplier’s decision/rules.

12.7. Third-party rules do not restrict the Client’s inalienable rights.

12.8. The refund period depends on the grounds, payment method, interaction with the Supplier and bank processing, subject always to mandatory statutory time limits.
13. Order Documents
13.1. Documents may include a confirmation, voucher, ticket, itinerary receipt, invoice, fiscal receipt, fare rules, Supplier details, cancellation terms and electronic forms.

13.2. Documents may be generated by Pathrest, a Partner, Supplier, carrier, accommodation property or external system.

13.3. A document or form in the Personal Account may be used instead of a paper document to the extent permitted by law.

13.4. Individual documents containing personal data, calculations and commercial parameters are not made publicly accessible.
14. Rights and Obligations of Pathrest
14.1. Pathrest performs its own obligations under the applicable Order model in good faith.

14.2. Pathrest may request information and documents for booking, identification, compliance with Supplier requirements, fraud prevention and compliance with law.

14.3. Pathrest may suspend a suspicious transaction and request additional verification.

14.4. Pathrest may correct obvious technical errors; the consequences of a material error in a confirmed Order are resolved taking into account applicable law and the actual possibility of performance.

14.5. Pathrest may engage contractors and technical operators.
15. Client Obligations
15.1. The Client provides accurate information, pays for the Order on time and complies with its terms.

15.2. The Client independently ensures possession of required passports, visas, permits, consents and other documents unless their procurement is included in the Order.

15.3. The Client complies with the rules of the Supplier, carrier, accommodation property and place of visit, and with the laws of the place where the Service is provided.

15.4. By placing an Order for third parties, the Client confirms that there is a lawful basis for providing their data.

15.5. In the event of a problem, the Client shall, where reasonably possible, promptly notify Pathrest and/or the actual Supplier.
16. Liability
16.1. Each party is liable for breach of its own obligations in accordance with law and the Agreement.

16.2. In the Marketplace model, the Partner is responsible for actual provision, safety, conformity with the description and legality of its Service; Pathrest is responsible for its own platform, intermediary and payment-related actions.

16.3. For external/API Services, the Supplier is responsible for performance of obligations within its sphere, while Pathrest is responsible for the obligations assumed by it in arranging and supporting the Order.

16.4. Where the Client is redirected to a third-party seller’s website, Pathrest is not the seller of the relevant Service unless expressly stated otherwise.

16.5. For its own Service, Pathrest is liable as the relevant provider/organiser within the limits of its lawful status.

16.6. Pathrest is not liable for circumstances beyond its reasonable control, except where applicable law places the relevant risk on the Company.

16.7. Nothing in the Agreement excludes consumer rights or liability that may not lawfully be excluded or limited.
17. Personal Data
17.1. Pathrest processes personal data in accordance with applicable law and the Privacy Policy.

17.2. Data may be transferred, to the extent necessary, to Partners, Suppliers, accommodation properties, carriers, tour operators, booking and payment systems and technical contractors.

17.3. International transfers are carried out in compliance with the applicable requirements of the laws of the Republic of Armenia.

17.4. A Client providing Traveller data confirms the existence of a lawful basis for doing so.
18. Force Majeure
18.1. Liability for non-performance due to force majeure is determined by applicable law.

18.2. Force majeure does not automatically entail a full refund of all components of an Order; consequences are determined by law, the nature of the Service, actual costs and applicable rules.

18.3. The parties take reasonable measures to mitigate the consequences.
19. Claims and Disputes
19.1. The Client may submit a claim through the Official Communication Channels, specifying the Order number and attaching supporting documents.

19.2. Pathrest considers the claim within the period prescribed by law for the relevant category of claim or within a reasonable period where no specific period applies.

19.3. A claim against a Partner/Supplier may be forwarded to it by Pathrest for consideration; this does not transfer another person’s liability to Pathrest beyond what is required by law or the Order.

19.4. The laws of the Republic of Armenia apply, without prejudice to mandatory consumer-protection rules.

19.5. Disputes are resolved through negotiations and, if no agreement is reached, by a competent court in accordance with applicable jurisdiction rules.
20. Term and Amendment of the Offer
20.1. The Agreement for a specific Order takes effect when concluded in accordance with Section 1 and remains in force until the obligations relating to that Order have been fully performed, unless otherwise required by law or by the nature of the relevant Service.

20.2. Pathrest may publish new versions of the Offer on the Website. A specific Order is governed by the version accepted by the Client when placing that Order, unless a subsequent amendment is required by law or separately agreed with the Client.

20.3. Pathrest may maintain an archive of versions of the Offer and electronic records of their acceptance. The absence of a copy of the Offer attached to an email does not affect conclusion of the Agreement where the content of the applicable version and the fact of acceptance can be established by other admissible means.
21. Languages, Priority of Documents and Annexes
21.1. The Agreement and related public documents may be available in Armenian, Russian and English.

21.2. In the event of discrepancies between language versions, the Armenian version prevails unless otherwise provided by law or by the specific document.

21.3. In relation to a specific Order, this Offer, the terms of the Offer listing, the Order, confirmation, voucher, ticket, applicable fare/cancellation/refund rules, special terms of the Service and other documents directly relating to that Order form an integral part of the Agreement.

21.4. Order documents and annexes may be provided electronically, including as a file, electronic form, record or section in the Personal Account, a link to terms, or by another method enabling the Client to review and retain their content where such capability is required by law.

21.5. Non-public documents relating to a specific Order are provided after the Booking, Order confirmation, payment and/or occurrence of another relevant stage of the transaction. They are not made publicly accessible where they contain personal data, booking, ticket or voucher numbers, individual calculations or other restricted information.

21.6. Special terms of a specific Order prevail over the general provisions of the Offer as regards the parameters of the relevant Service, provided that they were duly communicated to the Client before acceptance or agreed subsequently and do not conflict with mandatory provisions of applicable law.

21.7. The User Agreement, Privacy Policy, rules applicable to the relevant category of Services and the Supplier’s terms also apply to the Agreement to the extent relevant.
22. Integrated Booking and Third-Party Payments
22.1. The Website may use an integrated booking model under which the Client searches for and selects a Service, enters data, confirms the Order and takes payment-related actions directly within the Pathrest interface; however, the booking, payment infrastructure, charging of funds, settlements with the actual Supplier and/or individual stages of performance are provided by a third party through an API, GDS, embedded payment module or other technical integration.

22.2. The fact that the Client remains on the Website throughout the booking process and that the payment interface is visually embedded in the Website does not, by itself, mean that Pathrest LLC is the recipient of funds, the merchant of record, acquirer, carrier, accommodation property or actual provider of the relevant Service.

22.3. Before the Order is confirmed, the interface must clearly state the applicable payment model and, where material to the Order, the person accepting or processing the payment, the actual service provider, the time and place of payment, the amounts payable online and/or on site, any mandatory deposits and additional payments, and the applicable cancellation and refund rules.

22.4. An integrated third-party payment is a payment initiated by the Client when placing an Order on the Website, where funds are charged and/or accepted by an external Supplier, seller, aggregator, booking system, airline, payment partner or other third party. If the funds for such a transaction are not received by Pathrest, they are not deemed to have been received by Pathrest merely because the payment was initiated on the Website.

22.5. For accommodation services, an integrated booking system may provide, in particular, for: online payment to a third party; payment directly to the accommodation property; payment of part of the amount online and the balance to the accommodation property; subsequent charging; booking guarantee by bank card; a deposit; or other payments in accordance with the conditions of the relevant rate.

22.6. Where, in relation to a particular Order, an external booking or payment Supplier acts as the person accepting payment and settling with the actual service provider, responsibility for processing the relevant payment transaction and making any refund within that Supplier’s role is governed by that Supplier’s rules and applicable law. Pathrest is responsible for its own acts and obligations within its actual and contractual role and provides the Client with reasonable assistance in relation to an Order placed through the Website.

22.7. The actual service provider is responsible for the actual provision of the Service to the extent required by applicable law and the Order terms. The allocation of functions among Pathrest, the booking system, the seller, the payment recipient and the actual service provider does not limit any rights of the Client that cannot be contractually limited.

22.8. Cancellations and refunds are made in accordance with the rules of the relevant rate/Order. Where the original payment was accepted by a third party, the refund may be made by that third party or through the payment infrastructure used by it. Pathrest is not required to pay from its own funds an amount that Pathrest did not actually receive, except where such obligation is expressly imposed on Pathrest by law or assumed by the Company in relation to the relevant Order.

22.9. Bookings may be reviewed, suspended or cancelled where there are indications of fraud, in the cases and manner permitted by applicable law and the rules of the relevant booking system/payment Supplier. The Client is notified to the extent and in the manner applicable to the relevant Order.

22.10. This model applies across accommodation, airline tickets, transfers, taxis, vehicle rental, cruises, tours, excursions, entertainment and other Services where the relevant technical and contractual integration is available for the particular Offer.
23. Company Details
Company: Pathrest LLC
TIN: 04261072
Website: www.pathrest.am
E-mail: trip@pathrest.am
General Director: P. V. Margaryan

Legal qualification notice: Pathrest’s role in relation to each Service is determined by the specific Offer and Order. The terminology used in this Offer does not constitute a representation that Pathrest holds any regulated status unless such status has been duly acquired in accordance with law.
24. Unified model of roles and documents
24.1. Depending on the specific Service, Pathrest may act in different capacities: as operator of a digital platform/Marketplace, as an intermediary or travel agent in the distribution of third-party services, or as the direct provider/organiser of its own Service — only to the extent that such capacity is actually exercised and permitted by applicable law.

24.2. Pathrest’s role, the actual service provider, payment recipient, material terms, and cancellation and refund rules are determined by the specific Offer, Order, confirmation/voucher and applicable special rules. The mere fact that a Service is listed on the Website or that Pathrest accepts payment does not automatically mean that Pathrest is the actual provider of that Service.

24.3. Mandatory provisions of applicable law prevail over contractual allocation of roles and liability.

24.4. The Public Offer is published on the Website and need not be sent to the Client as a separate file after each Order. The Client is sent or provided with documents relating to the specific Order where required by the nature of the Service, law, Supplier rules or the Website interface, including a confirmation, voucher, ticket, payment document, special terms, cancellation/refund information and other applicable documents.

24.5. Registration/creation of a Personal Account does not constitute conclusion of an agreement for a specific paid tourism or related Service. Acceptance for a specific Order is recorded separately in the manner provided by the interface and this Offer.

24.6. Documents may be available in Armenian, Russian and English. In the event of discrepancies between language versions, the Armenian version prevails unless otherwise required by mandatory provisions of applicable law.
25. Electronic Copy of the Agreement and Archiving
25.1. After conclusion of the Agreement for a specific Order, the Company may generate an electronic copy of the contractual package containing the text of the Public Offer in the version applicable at the time of acceptance, information concerning the specific Order, special terms, confirmation/voucher, cancellation and refund rules and other applicable documents.

25.2. The contractual package may be made available to the Client in the Personal Account and/or sent to the registered email address. Where the nature of the Service or applicable law does not require separate confirmation after the Order is placed, no repeated acceptance of the generated copy is required.

25.3. The Company retains information concerning the applicable version of the Offer and documents relating to the specific Order to the extent and for the period necessary for performance of the Agreement, mandatory record-keeping, handling of claims and protection of legitimate interests.

25.4. Where, after searching on the Website, the User is redirected to an external Seller’s website and concludes the agreement and makes payment directly there, the Company does not generate, in its own name, a sales agreement for the relevant Service unless expressly stated otherwise before the redirect.
