USER AGREEMENT
(TERMS OF USE OF THE PATHREST WEBSITE AND DIGITAL PLATFORM)

Last updated: 01.09.2026
1. General Provisions
1.1. This User Agreement (hereinafter, the “Agreement”) sets out the rules governing access to and use of the www.pathrest.am website, its subdomains, the Personal Account, and search, information, booking and other digital functions (collectively, the “Digital Platform”), operated by Pathrest LLC (hereinafter, the “Company” or “Pathrest”).

1.2. The Agreement governs the use of the Digital Platform as a digital environment. The terms governing the booking, purchase or provision of a specific tourism or related service are set out in the Public Offer for Clients, the terms of the specific Offer/Order, the rules of the relevant Supplier and other applicable documents.

1.3. By visiting the Website, viewing its pages or using any function of the Digital Platform, the User confirms that the User has read and agrees to the provisions of this Agreement applicable to such use. If the User does not agree, the User must cease using the Website and the Digital Platform. When registering or creating a Personal Account, the User additionally confirms acceptance of those provisions by ticking a mandatory checkbox and submitting the registration form. Any separate consent or acceptance required by law or by the nature of a specific action is given through the relevant interface.

1.4. Registration and acceptance of this Agreement do not automatically constitute the conclusion of an agreement in respect of a specific tourism or related Service and do not create an obligation to place or pay for an Order. An agreement in respect of a specific Service is concluded separately in accordance with the procedure established by the Public Offer for Clients and the terms of the relevant Order.

1.5. If the User registers as a Marketplace Partner, the contractual relationship concerning the listing and sale of Services is governed by the Partner Public Offer and the applicable non-public Annexes. Acceptance of the User Agreement does not replace acceptance of the Partner Offer where the registration interface provides for their acceptance as separate documents.

1.6. For the purpose of evidencing electronic acceptance of documents, the Company may retain information concerning the date and time of acceptance, the account, the document version, the fact that the mandatory checkbox was ticked, and other technical data to the extent permitted by law and the Privacy Policy.

1.7. Nothing in this Agreement shall be construed as an unconditional representation that the Company is the actual service provider, tour operator, accommodation property, carrier, airline or other supplier of every service presented on the Digital Platform. The Company’s role is determined by reference to the specific service and the model under which it is provided.
2. Terms and Definitions
2.1. Company / Pathrest — Pathrest LLC.

2.2. Digital Platform — the www.pathrest.am website, its subdomains, software interfaces and user-facing functions intended for searching, publishing, comparing, requesting, booking and/or purchasing services.

2.3. User — any natural or legal person using the Digital Platform.

2.4. Client — a User who places a Booking/Order for themselves and/or third parties.

2.5. Marketplace Partner — a natural person (where permitted by law), an individual entrepreneur or a legal entity that lists its own Offers on the Digital Platform and is responsible for the legality and actual performance of the relevant services within the limits of applicable law and the contractual model.

2.6. Supplier — a third party participating in the provision, creation, booking, sale or actual performance of a service, including a tour operator, travel agent, accommodation property, carrier, airline, GDS/aggregator, transfer or transport company, or any other person.

2.7. Offer — information concerning a service listed on the Digital Platform, including its description, price, dates, availability, payment and cancellation rules, and other material terms.

2.8. Booking — a request to reserve and hold a service in advance.

2.9. Order — a confirmed Booking in respect of which the applicable terms and/or documents have been generated.

2.10. Personal Account — a secure user area of the Digital Platform.

2.11. Official Communication Channels — the Company’s contact details specified in the User Agreement and/or on the Website.
3. Digital Platform Operating Models and Pathrest’s Role
3.1. Different operating models may be used on the Digital Platform simultaneously. Pathrest’s specific role is determined in relation to the particular Offer and Order.

3.2. Marketplace Model. Partners may list their own tourism and related services after registering with and/or being verified by the Company. Under this model, the identified Partner is the actual provider of the relevant service unless expressly stated otherwise in the Offer or Order.

3.3. Intermediary/API Model. The Company may obtain information, availability, prices and other content from external Suppliers through APIs, affiliate systems, GDSs, XML/JSON integrations, Supplier platforms or other technical channels. Depending on the model, the User may place the Order on the Digital Platform or be redirected to a third party’s website.

3.4. The Company’s Own Services. The Company may list and provide services that it creates, organises and/or performs itself, provided that all legal grounds, notifications, qualifications, guarantees, permits and other requirements mandatory for the relevant activity are in place.

3.5. Where, under the laws of the Republic of Armenia, a particular activity falls within the activities of a tour operator, travel agent or another regulated category, the Company’s status, rights and obligations apply only within the scope of the activities that the Company is entitled to carry out in accordance with applicable law.

3.6. Displaying an Offer on the Digital Platform does not, by itself, mean that Pathrest is its actual provider. Before the Order is placed and the agreement is concluded, the User must be given access to information enabling the User to identify the applicable model and the service provider or seller where required by the nature of the service and by law.
4. Registration and Personal Account
4.1. Registration is required for certain functions. When registering, the User provides accurate, current and complete information and confirms acceptance of the applicable public documents by ticking separate mandatory checkboxes or through another unequivocal consent mechanism provided by the interface.

4.2. The User is responsible for safeguarding the means of access to the Personal Account and must not transfer them to third parties except where permitted by the functions of the Digital Platform.

4.3. The Company may require confirmation of contact details, identity, a representative’s authority or other information necessary for security, performance of an Order, compliance with law or prevention of abuse.

4.4. The Company may temporarily restrict access to the Personal Account where there are reasonable grounds to suspect fraud, unauthorised access, or a breach of law or this Agreement, subject to applicable law.

4.5. The Company is not required to send the User a copy of this Agreement after registration unless otherwise required by law. The current version is published on the Website; the Company may also send a registration notice containing a link to the public documents.
5. Search, Information and Availability of Services
5.1. Information concerning availability, schedules, rates, room categories, routes, carriage rules and other parameters may be obtained from Suppliers and may change in real time.

5.2. A search result does not guarantee the availability of a service until it is confirmed in accordance with the procedure applicable to the relevant booking model.

5.3. Where there is a technical discrepancy between a preliminary search result and the final terms, the current terms must be displayed to the User before payment where technically and legally applicable.

5.4. The Company may correct obvious technical display errors, but may not use such correction to prejudice consumer rights that have already arisen contrary to mandatory provisions of law.
6. Marketplace and Partner Content
6.1. The Company may review, moderate, reject, return for revision, technically edit, temporarily hide or remove Partner Offers in accordance with the partner documents and legal requirements.

6.2. Moderation does not mean that the Company assumes the obligations of the actual service provider and does not release the Partner from responsibility for the accuracy of the description, price, availability, safety, legality, quality and performance of its Offer.

6.3. The Partner independently determines the price of its Offer, cancellation rules, discounts and other commercial terms within the limits of law and the partner agreement. The Company may grant an additional discount at its own expense, provided this does not alter the amount due to the Partner other than as agreed with the Partner.

6.4. The Company may display information concerning the Partner that is necessary to identify the service provider and protect the Client’s interests.
7. APIs, External Suppliers and Redirects
7.1. For certain categories of services, the Digital Platform performs search, information or intermediary functions and uses data from external systems.

7.2. If, after selecting a service, the User is redirected to the website of an airline, seller or another external platform, the purchase agreement is concluded and payment is made on the terms of the relevant third party unless expressly stated otherwise.

7.3. In that case, Pathrest may receive affiliate or agency remuneration from an external system for the referral, booking or sale. Receipt of such remuneration does not, by itself, make Pathrest the seller or carrier of the relevant service.

7.4. Where an Order of an external Supplier is placed on the Digital Platform and Pathrest accepts the funds, the parties’ rights and obligations are determined by the Public Offer, the Order terms, the contractual model with the Supplier and applicable law.

7.5. A Booking may be transmitted to the Supplier automatically or processed manually by the Company. The method of technical processing must not, by itself, reduce the Client’s statutory rights.
8. Payments
8.1. Depending on the Offer, payment may be made:
(a) to Pathrest through the Digital Platform or using the Company’s bank details;
(b) directly to the Supplier/Partner;
(c) to an external booking system, airline, GDS, aggregator, seller or other third party through an integrated payment interface, including without the User leaving the Website;
(d) partly to Pathrest and partly to the Supplier/third party;
(e) at the place where the Service is provided, or by another lawful method clearly stated before the Order is confirmed.

8.2. Where payment is made to Pathrest, it relates to a specific Order/Booking identified by a number, code and/or service name.

8.3. For a Marketplace Booking, the terms may provide for full online payment to Pathrest, a Prepayment to Pathrest with the balance paid to the Partner, or payment of the full amount to the Partner, including cash payment where permitted by law.

8.4. Internal commissions, net settlements and commercial terms between Pathrest and the Partner/Supplier do not form part of this Agreement unless they affect the Client’s final price or rights.

8.5. Refund rules are determined by the Public Offer, the terms of the specific Order and the rules of the relevant Supplier, taking into account mandatory legal requirements.

8.6. Use of an integrated third-party payment module does not, by itself, mean that Pathrest accepts the funds. The payment recipient/processor is determined by the specific Order and the information made available to the Client before payment is confirmed.

8.7. Direct bookings through an API/GDS on the Digital Platform, which may apply to air carriage, accommodation and other categories of Services, are distinct from the redirect model: under the redirect model, the purchase agreement is concluded on an external platform, whereas under integrated booking, the Order may be created through the Pathrest system even though certain contractual, payment and performance functions are carried out by third parties.
9. User Conduct Rules
9.1. The Digital Platform must not be used for unlawful activities, fraud, circumvention of restrictions, interference with the operation of the Website, unauthorised automated extraction of data, distribution of malicious code or infringement of third-party rights.

9.2. It is prohibited to create fictitious Bookings, intentionally provide false information, or misuse refund mechanisms, promotional codes, bonuses or payment instruments.

9.3. Without the prior written permission of Pathrest LLC or an API specifically provided by the Company, it is prohibited to access the Website or Digital Platform on a mass or systematic basis, or to collect, index, copy, download, monitor or reuse content or data, by means of programs, scripts, robots, crawlers, scrapers, parsers, browser automation, artificial intelligence or other automated tools. The fact that content or data is publicly or technically accessible does not, by itself, constitute permission for such activities.

9.4. This Agreement does not grant third parties the right to resell, syndicate or make Marketplace data available through an API. Such relationships are governed by a separate B2B/API agreement.
10. Intellectual Property
10.1. Rights in the design, software code, structure, databases, branding, texts and other elements of the Digital Platform belong to the Company and/or the relevant right holders.

10.2. Supplier and Partner content may be used by the Company to the extent necessary for the listing, promotion, marketing, booking and operation of the relevant Offer.

10.3. The content of the Website and Digital Platform is made available to the User solely for personal, non-commercial and informational use within the ordinary functions of the Website and subject to compliance with this Agreement. Without the Company’s prior written permission or another lawful basis, it is prohibited to copy, systematically collect, store, reproduce, publish, distribute, sell, commercially or competitively use all or a substantial part of the content or data, or to create proprietary databases from such content or data.
11. Personal Data and Technologies
11.1. The processing of personal data is governed by the laws of the Republic of Armenia and Pathrest’s Privacy and Personal Data Protection Policy.

11.2. For the purpose of fulfilling a Booking, data may be transferred to Partners, tour operators, accommodation properties, carriers, payment and technical providers, GDSs/aggregators and other persons to the extent necessary for the relevant purpose and where a lawful basis exists.

11.3. In the case of an accommodation booking, data may be received by Pathrest and subsequently transmitted to the operator/Supplier manually or automatically.

11.4. The use of cookies, analytics, affiliate and other technologies is governed by the Cookies Policy and the relevant consent settings where such consent is required.
12. Liability and Technical Availability
12.1. The Company endeavours to ensure the stable operation of the Digital Platform but does not guarantee uninterrupted access in the event of maintenance, network, external API or payment system failures, or other circumstances beyond the Company’s reasonable control.

12.2. Responsibility for the actual provision of a service is determined by Pathrest’s role in the specific Order. Where the Partner/Supplier is the service provider, it is responsible for performance within the limits of applicable law and the contractual terms, while Pathrest is responsible for its own obligations as operator of the Digital Platform, intermediary, agent, seller or service provider, depending on the specific model.

12.3. Nothing in the Agreement excludes or limits the Company’s liability to the extent that such exclusion or limitation is prohibited by law.

12.4. In the event of a conflict between this Agreement and the special terms of a specific Order, the special terms apply to the relevant Order, provided this does not contravene mandatory provisions of law.
13. Complaints and Requests
13.1. The User may submit a request to trip@pathrest.am or through Pathrest’s other Official Communication Channels.

13.2. To expedite consideration, it is recommended that the User specify the Order/Booking number, describe the circumstances and provide supporting materials.

13.3. The provisions of this Section do not restrict a consumer’s right to apply to the competent public authorities or courts in accordance with the procedure established by the laws of the Republic of Armenia.
14. Amendments to the Agreement
14.1. The Company may amend this Agreement by publishing a new version on the Digital Platform and indicating the date of the latest update.

14.2. Amendments apply to use of the Digital Platform after the new version enters into force. A new version applies to Orders already concluded only where permitted by law and the terms of the relevant agreement.

14.3. Material amendments that require the User’s separate consent by law or by the nature of the relationship enter into force after such consent has been obtained.
15. Relationship Between Documents
15.1. The Digital Platform’s system of legal documents includes, in particular, this User Agreement, the Public Offer for Clients, the Privacy and Personal Data Protection Policy, the Cookies Policy, special rules for individual categories of services, and the terms of the specific Offer and Order.

15.2. Partner terms, cooperation agreements, commercial annexes, tariffs and settlements between the Company and Partners govern B2B relationships and do not form part of the agreement with the Client unless expressly provided otherwise.

15.3. Non-public annexes and individual commercial terms may be provided to Partners after registration through the Personal Account, an electronic form, an electronic document, email or another agreed channel. Where such documents impose new individual obligations on the Partner, they become binding after separate acceptance in accordance with the procedure established by the Partner Offer; an electronic form may be used in place of a paper annex to the extent permitted by law.

15.4. Annexes, Order terms and other documents expressly identified as forming part of a specific agreement constitute an integral part of that agreement.
16. Languages and Applicable Law
16.1. Documents of the Digital Platform may be available in Armenian, Russian and English.

16.2. In the event of discrepancies between language versions, the Armenian version prevails unless otherwise expressly provided by mandatory provisions of applicable law or by the relevant document.

16.3. This Agreement is governed by the laws of the Republic of Armenia. Mandatory consumer rights and other mandatory provisions apply irrespective of the terms of the Agreement.

16.4. Disputes are resolved through negotiations and, if no agreement is reached, by a competent court in accordance with applicable law.
17. Relationship with agreements for services
17.1. The Agreement governs the use of the Digital Platform and does not replace the agreement relating to a specific Order. For the Client, an agreement in respect of a paid Service arises separately in accordance with the Public Offer and the terms of the specific Order.

17.2. For a Partner, the ordinary functions of the Digital Platform are governed by this Agreement, while the listing and sale of Offers are governed by the Partner Public Offer, the Marketplace Terms and the accepted non-public Annexes.

17.3. Public documents may be provided by means of a permanent link on the Website; they need not be attached again to every email unless otherwise required by law or by a special term of the Service.
18. Electronic Documents and Personal Account
18.1. The Personal Account may be used to provide the User with agreements, versions of public documents, confirmations, vouchers, annexes and other documents. Displaying a document in the Personal Account does not constitute its acceptance unless the interface expressly provides for an action to accept the relevant document.

18.2. The Company may retain the history of document versions and the User’s electronic actions in order to evidence the content of the legal relationship and enable the relevant information to be reproduced.

18.3. The use of a third-party integrated payment module does not in itself mean that Patrest accepts funds. The recipient/processor of the payment is determined by the specific Order and by the information available to the Customer prior to payment confirmation.

18.4. Direct bookings via API/GDS on a digital platform, which can be applied to air transportation, accommodation and other categories of Services, differ from the redirect model. In the case of redirect, the purchase contract is formed on an external platform, while in the case of integrated booking, the Order can be created on Patrest, although separate contractual, payment and fulfillment functions belong to third parties.
